Corporate Restructuring for a Growing SME

Challenge

A Kuala Lumpur-based manufacturing company with four shareholders needed to restructure ownership ahead of bringing in an outside investor. Existing agreements were outdated and did not address dividend distribution or exit provisions clearly.

Approach

Verdien reviewed the existing constitutional documents, facilitated discussions among shareholders on key terms, and drafted a revised shareholders' agreement that addressed governance, transfer restrictions, and investor protections.

Outcome

Challenge

Challenge

Approach
