1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

2. Acceptance of Terms

By using this website, submitting an enquiry form, or instructing Verdien to provide legal services, you confirm that:

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

3. Description of Services

Verdien provides the following legal services to clients in Malaysia and, where applicable, internationally:

Corporate Advisory

Guidance on company formation, shareholder arrangements, regulatory obligations, and corporate governance. This includes document preparation, compliance reviews, and ongoing board advisory support for SMEs and startups. Engagements typically span four to six weeks, with optional retainer arrangements.

Dispute Mediation

Structured facilitation for resolving commercial and civil disputes outside formal court proceedings. Services cover dispute assessment, facilitated sessions, and guidance toward workable resolutions. Duration varies by case complexity, generally across two to eight sessions.

Estate Planning

Preparation of wills, trusts, powers of attorney, and succession plans under Malaysian inheritance law. Includes asset inventory review, beneficiary designation guidance, and tailored testamentary drafting. Particular attention is given to multi-jurisdictional considerations.

The scope of any engagement will be agreed in writing before work commences. Verdien reserves the right to decline any matter that falls outside its areas of practice.

4. Engagement and Client Relationship

An attorney-client relationship with Verdien is only formed upon the execution of a written engagement letter or service agreement. Enquiries submitted through our website do not constitute an engagement and should not be treated as legal advice.

8. Confidentiality

Verdien maintains strict professional confidentiality in accordance with legal professional obligations in Malaysia. Information you share with us in the context of a legal engagement is treated as privileged and confidential.

Informal Resolution

Before initiating formal proceedings, both parties agree to make a genuine effort to resolve any dispute through direct communication. Please contact us at [email protected] to raise any concerns. We will endeavour to respond within 14 business days.

Mediation

If informal resolution is not achieved, the parties may agree to submit the matter to mediation under the Asian International Arbitration Centre (AIAC) Mediation Rules before resorting to litigation.

14. General Provisions

Entire Agreement

These Terms, together with any signed engagement letter, constitute the entire agreement between you and Verdien regarding the subject matter herein and supersede all prior understandings.

Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

Waiver

Failure by Verdien to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision at a later time.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may transfer our obligations to a successor practice without your consent, provided that successor assumes all obligations under any active engagement.

Force Majeure

Neither party shall be liable for delays caused by circumstances beyond their reasonable control, including natural disasters, civil unrest, or system failures, provided the affected party notifies the other promptly and makes reasonable efforts to mitigate the impact.

We may revise these Terms from time to time. Any material changes will be reflected in an updated "Last Updated" date at the top of this page. We encourage you to review this page periodically.
